1. Scope and Provider
1.1These General Terms and Conditions (“AGB”) apply to contracts for private online educational services offered by Ivan Halimau as a sole proprietor under the trading name CGSENSEI Academy. These may include, in particular, online courses, digital learning content, live online sessions, assignments, feedback, and use of related online communication spaces (together, the “Services”).
1.2The provider under these AGB is Ivan Halimau (the “Provider”). Full Provider details and contact options are available in the Legal Notice at https://www.cgsensei.pro/impressum. The contact address stated there also applies to notices, complaints, and withdrawals.
1.3The offer is intended for adults. Minors may book Services only with the consent of their legal representative.
1.4Where customers are consumers within the meaning of section 1 of the Austrian Consumer Protection Act (KSchG), mandatory consumer-protection rules apply without restriction. In particular, these AGB do not limit statutory withdrawal rights, warranty rights, claims for damages, or any other mandatory consumer rights.
2. Description of the Services
2.1The type, content, scope, where applicable start date and duration of a course, number and format of live sessions, prerequisites, unlimited access to digital learning content under clause 5.1, scope of support, technical requirements, and total price are set out on the relevant course page and in the order summary in the Teachable Checkout. These product-specific details form part of the contract.
2.2Where a course has a fixed group start date, it is stated on the course page or in the Checkout. Access to digital learning content is granted for an unlimited period while the Provider makes that content available on the platform used for this purpose. This does not apply to time-limited course components, in particular live sessions, group support, feedback, or access to time-limited communication spaces, provided this was clearly stated before the contract was concluded.
2.3Learning materials, platform access, and communication in a course space (such as Discord) may constitute digital content or digital services. Live online teaching, individual feedback, or other personal support may constitute services. For mixed offers, the statutory rules apply to the relevant part of the Services.
2.4No particular learning outcome, professional qualification, employment, or income is owed. This does not affect the Provider’s obligation to properly provide the Services agreed in the contract.
3. Formation of Contract and Order Process
3.1The presentation of Services on the website is an invitation to place an order and does not constitute a binding offer by the Provider.
3.2The customer selects the desired Service, reviews the information in the Teachable Checkout, may correct input errors using the technical means available before placing the order, and makes a binding offer by activating the order function clearly labelled as creating a payment obligation.
3.3The Provider accepts the offer by sending an order confirmation by email or by enabling access to the booked Service. An automatically sent acknowledgement of receipt is not acceptance unless it is expressly designated as an order confirmation.
3.4After the contract is concluded, the Provider sends the customer a contract confirmation on a durable medium, in particular by email. The confirmation contains the version of these AGB applicable to the contract and the legally required pre-contractual information.
3.5The contractual language is German. The Provider stores the contract text within the scope of statutory retention and data-protection obligations; the customer receives the contract confirmation by email.
3.6The version of the AGB applicable at the time the contract is concluded applies to contracts already entered into. Changes to these AGB do not apply retroactively to already booked Services unless the customer expressly agrees to the change or the change is required by mandatory law.
4. Prices, Payment, and Group Places
4.1All prices displayed on the website are net prices in euros (EUR). Any VAT applicable in the customer’s country is calculated and shown separately in the Teachable Checkout before the order is placed. Business customers can enter their VAT ID in the Checkout.
4.2Payments are processed exclusively through the Teachable Checkout. The payment methods available for a particular order are displayed in the Checkout. The Provider does not offer advance payments or individually agreed instalment plans outside the Checkout.
4.3Where Teachable offers a one-time payment or payment plan for the selected Service, the number, amount, due dates, and, where applicable, term of instalments are determined solely by the order summary in the Checkout. The total price and payment plan displayed there before the order is placed are decisive.
4.4The Provider does not charge additional payment fees unless they are clearly shown in the Checkout before the order is placed. Fees charged by a bank, card issuer, or other payment provider selected by the customer for currency conversion or use of the payment method are governed by that provider’s terms and are outside the Provider’s control. The Provider does not owe conversion at any particular exchange rate. This does not apply to costs which the Provider must bear under mandatory law.
4.5A place in a group is reserved only after successful payment or successful setup of the payment plan selected in the Checkout and acceptance of the order. If payment fails, is declined, or is not received in time, the customer has no claim to a place in an already full group.
4.6Under a payment plan, the Provider may temporarily suspend access to future Services when a payment is overdue, after an appropriate reminder and grace period. Further rights, including termination, are governed by the statutory requirements. Mandatory consumer rights remain unaffected.
4.7Teachable is a technical platform provider and, where applicable, a payment service provider. The Provider remains the contracting party for the educational Service. Teachable’s terms may govern technical payment processing, but do not replace these AGB or the customer’s mandatory claims against the Provider.
5. Provision, Access, and Technical Requirements
5.1After the contract is concluded and payment has been successfully processed, the Provider makes the digital learning content available in accordance with the product description. Access to this digital learning content is granted for an unlimited period while the Provider makes it available on the platform used. For courses with a fixed start date, access to individual components may only be enabled on the specified date. Time-limited live, group, and support components are governed by the relevant course description.
5.2Access is personal. Access credentials, invitation links, passwords, and learning materials must not be passed on to third parties. The customer must protect access credentials against unauthorised use and notify the Provider without undue delay of a well-founded suspicion of misuse.
5.3The customer is responsible for suitable hardware and software, a current browser, a stable internet connection, and access to the platforms specified for the course. Specific minimum requirements, where required, are communicated before the order is placed. The Provider is not responsible for disruptions exclusively within the customer’s sphere of responsibility, internet access, or a third-party provider used by the customer.
5.4The Provider may carry out reasonable interruptions, announced in advance where possible, for maintenance, security, or technical updates. Material restrictions of the contractually owed Service will be avoided and remedied without undue delay. Statutory obligations to provide and update digital services remain unaffected.
6. Customer Cooperation, Group Conduct, and Community Rules
6.1The customer must treat other participants with respect and observe reasonable course and communication rules announced in advance. In particular, unlawful content, harassment, discrimination, insults, threats, material disruption of teaching, and unauthorised distribution of access credentials or learning materials are prohibited.
6.2In the event of a material or repeated breach, the Provider may, after prior warning and a reasonable opportunity to remedy the breach, temporarily restrict individual communication functions. Termination or permanent exclusion is permitted only in the event of a serious breach or an unsuccessful expiry of the remedial period, to the extent proportionate in all the circumstances. The customer’s claims regarding Services not yet provided are governed by law in that case.
6.3The customer may record or publish classes or group communications only with the prior consent of all clearly affected persons. This applies in addition to statutory consent and data-protection requirements.
7. Changes to Course Delivery and Force Majeure
7.1The Provider may make non-material changes to processes, dates, tools used, or teaching methods if the content, scope, and quality of the booked Service are not materially impaired. The customer will be informed of material changes in clear form and in good time.
7.2If individual dates or parts of a course cannot take place as planned due to force majeure or other extraordinary circumstances beyond the Provider’s control (for example, serious illness, an official order, or a significant technical disruption), the Provider will inform the customer without undue delay and offer a reasonable replacement Service, replacement date, or, with the customer’s consent, participation in a later group.
7.3A transfer to another group is not a unilateral substitution of the contracted Service where it is unreasonable for the customer. If a reasonable substitute is not possible or the customer is entitled to reject it, statutory rights apply; in particular, a pro rata refund may be due for Services not yet provided.
7.4Planned breaks or holidays are permitted only if clearly stated before the contract is concluded in the course description, schedule, or Checkout. They extend the course duration only to the extent stated there.
8. Consumer Right of Withdrawal
8.1Consumers generally have a statutory right to withdraw from distance contracts within 14 days without giving reasons. The period begins on the day the contract is concluded. Details, exceptions, and the model withdrawal form are set out in the Withdrawal Notice in Annex 1.
8.2For services, the right of withdrawal does not expire merely when performance begins. It may expire only after the service has been fully performed where the customer has previously expressly requested that performance begin before the end of the withdrawal period and has acknowledged that the right of withdrawal is lost upon full performance. If the customer withdraws during the withdrawal period after expressly requesting early performance, the customer may owe a reasonable proportionate amount for services provided up to withdrawal only where the statutory conditions are met.
8.3For digital content not supplied on a tangible medium, the right of withdrawal expires only if the Provider began supply before the end of the withdrawal period, the customer under an obligation to pay previously expressly consented, the customer acknowledged awareness of the loss of the right of withdrawal, and the Provider issued the legally required contract confirmation. If any of these requirements is missing, the right of withdrawal remains.
8.4For the required express consent and acknowledgement, the Provider uses a separate, non-pre-ticked declaration in the Checkout or an equivalent process. A clause in these AGB alone does not replace that declaration.
8.5The statutory right of withdrawal and statutory warranty rights are independent of, and are not limited by, a payment platform’s refund rules.
9. Additional Teachable Refund Rule
9.1In addition to statutory rights, the refund rule displayed in the Teachable Checkout at the time of purchase applies to the purchase of an offer processed as a “Course” through a Teachable-native payment channel. Where Teachable’s standard policy applies there, students may request a full refund for a course purchase within 14 days from the initial payment.
9.2This additional platform rule does not automatically apply to coaching offers, digital downloads, bundles containing such components, subscriptions, or payments through an external payment channel. For such offers, only the voluntary refund policy clearly displayed before the order is placed applies; statutory rights always remain unaffected.
9.3Refund requests may be submitted using the Teachable options stated in the Checkout or order confirmation and to the Provider contact address stated in the Legal Notice. The Provider remains responsible to the customer for the handling of contractual and statutory claims. Teachable is not a party to the contract for the educational Service.
9.4In the event of a statutory withdrawal, the Provider refunds all payments received from the customer within the statutory deadlines and, as a rule, using the same means of payment, unless expressly agreed otherwise and provided the customer incurs no costs. The technical time until crediting to the original payment method may depend on its provider.
9.5Once an applicable additional Teachable refund period has expired, there is no general voluntary right of return. Claims arising from withdrawal, warranty, breach of contract, a goodwill refund agreement, or a refund expressly promised for the specific Service remain unaffected.
10. Complaints, Performance Issues, and Warranty
10.1No separate acceptance certificates are issued for the Services. The fact that access was made available, a session was held, or material was accessed may serve as evidence of provision, but does not replace the customer’s statutory rights.
10.2The customer should report apparent technical or substantive problems as soon as reasonably possible to the contact address in the Legal Notice, describing the order and the specific problem. A failure or delay in reporting does not result in the loss of mandatory statutory rights.
10.3Statutory warranty rights, in particular under the Austrian Consumer Warranty Act (Verbrauchergewährleistungsgesetz, VGG), apply to digital services where its requirements are met. In the event of defects, the customer may, where legally permitted, first request that the Service be brought into conformity and, where statutory requirements are met, request a price reduction or termination of the contract.
10.4The applicable statutory warranty and remedies rules apply to other services. Statutory rights due to non-performance, late provision, or another breach of contract remain unaffected.
11. Rights of Use and Customer Content
11.1The rights in learning materials, videos, recordings, presentations, assignments, files, templates, and other course content provided belong to the Provider or the respective entitled third parties.
11.2For the duration of the agreed access, the customer receives a non-exclusive, non-transferable, non-sublicensable right to use the materials provided solely for personal learning purposes within the booked course. Uses permitted by law remain unaffected.
11.3Without the prior consent of the rights holder, the customer must not reproduce, make publicly available, distribute, sell, rent, or enable third-party use of course materials, access, or recordings, unless permitted by law.
11.4Rights in work created by the customer remain with the customer. Publication, promotional, or other use by the Provider of the customer’s work, screenshots, recordings, or testimonials occurs only on the basis of a separate, verifiable consent where required, or another legal basis. Consent is voluntary and may be withdrawn with effect for the future.
11.5The customer is responsible for ensuring that content uploaded to course spaces does not infringe third-party rights and is not unlawful. Following prior review, the Provider may remove or block unlawful content or content that materially breaches group rules where necessary and proportionate.
12. Liability
12.1The Provider is liable in accordance with statutory provisions for intent, gross negligence, culpably caused injury to life, body, or health, claims under mandatory product-liability law, and in all cases of mandatory statutory liability.
12.2In the case of ordinary negligence, the Provider is liable, to the extent permitted by law, only for the breach of essential contractual obligations and only for damage typically foreseeable. Essential contractual obligations are obligations whose performance makes the proper performance of the contract possible in the first place and on whose performance the customer may normally rely.
12.3The foregoing liability rules do not limit withdrawal rights, warranty rights, or other mandatory consumer rights.
13. Data Protection
13.1Information about the processing of personal data, platforms used, and data subject rights is provided in the separate Privacy Policy on the website.
13.2Where the customer uses third-party platforms for the course, in particular Teachable or a communication space, the relevant privacy notices and terms of use of those services also apply. The Provider remains responsible for personal-data processing initiated by the Provider under applicable data-protection law.
14. Final Provisions
14.1Austrian law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. For consumers habitually resident in another country, this choice of law applies only to the extent it does not deprive them of the protection afforded by mandatory provisions of that country’s law.
14.2Statutory rules on jurisdiction apply to disputes with consumers. No exclusive jurisdiction at the Provider’s place of business is agreed.
14.3If any provision of these AGB is or becomes invalid, the validity of the remaining provisions remains unaffected. Statutory provisions replace the invalid provision.
14.4Ivan Halimau is an Unreal Authorized Instructor of Epic Games. This status describes professional qualification and does not create an employment, agency, or other contractual relationship with Epic Games, Inc.
